1. Definitions and Interpretation

In these Service Terms and Conditions, the following terms shall have the meanings ascribed to them, or if not explicitly defined, they shall bear the meanings under relevant laws:

a. Confidential Information: Any information, whether oral or written, related to proprietary data of either party, including technical, financial, or marketing aspects. This includes pricing, Services, and support policies.

b. Content: Information, media, and keywords such as files, audio, images, videos, and other materials uploaded and posted by the User.

c. User Data: Data collected by or for the User through the Services, as well as data or content provided by the User.

d. Documentation: Information produced by LionTech regarding Service operation, usage, and system requirements.

e. Personal Data: User-provided information during registration, such as name, business email, and contact details.

f. Order Form: Documentation referencing this Agreement for service subscription.

g. Services: Services provided by LionTech as detailed in the Order Form, including updates and modifications.

2. License to Use

2.1 Grant of License: LionTech grants the User a limited, non-exclusive, non-transferable right to access and use the Services according to this Agreement.

2.2 Reservation of Rights: LionTech retains all rights not explicitly granted, including property rights. Users agree that no ownership rights are created beyond the license granted.

2.3 Restrictions on Use: Users agree not to reverse engineer, copy, modify, or engage in unauthorized activities. Services are for internal business use and should comply with applicable laws.

2.4 Support and Maintenance: LionTech provides support during business hours, including bug fixes and updates, as part of the Agreement.

3. Privacy Information; User Data

a. Collection of Personal Data: Users agree to the collection and processing of Personal Data as per LionTech's privacy policy for authorized usage.

b. Accuracy of Personal Data: Users are responsible for providing accurate Personal Data.

c. User Data: LionTech is granted a non-exclusive right to collect, use, and process User Data for Service provision and improvement, as well as for generating aggregated anonymous data.

4. Terms of Payment

Users are responsible for the applicable Service Subscription Fee upon account creation and package selection.

5. Term

The Agreement starts on the Effective Date and continues for the period stated in the Order Form or until terminated by the parties. The Agreement can be extended upon mutual agreement.

6. Termination

Termination can occur for non-payment, breach, bankruptcy, change of control, or infringement. Obligations upon termination include discontinuing use and returning confidential information.

7. Indemnity

Users indemnify LionTech against breach-related liabilities. LionTech indemnifies users against intellectual property claims and willful misconduct.

8. Limitation of Liability

Except for specific cases, neither party is liable for incidental, consequential, or punitive damages.

9. Limited Warranty

LionTech warrants that Services will function as described in the Documentation. Limited remedies include correction or refund of License Fees.

10. Export Control

Both parties agree to comply with export controls and sanctions laws.

11. Confidentiality

Parties agree not to disclose or misuse each other's Confidential Information. Exceptions include legal requirements.

12. Miscellaneous

Amendments are effective upon notice. Waivers and assignments require written consent. Severability and governing law provisions are established.
